Program Description and Use of Services

References in these Terms & Conditions to “ISI Collective,” “ISI Collective, Inc.,” “we,” “us,” or “our” refer to ISI Collective, Inc.

ISI Collective, Inc. provides mentorship, education, guidance, community access, and access to professional resources related to real estate investing, ground-up development, construction, deal evaluation, and related topics.

By accessing our website, submitting an application, scheduling a consultation, enrolling in ISI Collective, or using our services, you agree to these Terms & Conditions.

SMS Program and Messaging Use Cases

By providing your mobile phone number and opting in through our website forms, application forms, booking forms, or other communication channels, you consent to receive SMS messages from us.

These messages may include:

• Appointment confirmations
• Appointment reminders
• Application follow-up
• Zoom scheduling
• Mentorship-related communications
• Service updates
• Project-related communications
• Follow-up regarding services
• Promotional communications

Consent to receive SMS messages is not a condition of purchase. Message and data rates may apply. Message frequency varies.

Age Restriction & Opt-Out Instructions

You must be 18 years of age or older to use our services, apply to ISI Collective, or participate in our SMS messaging program.

You may opt out of SMS communications at any time by replying: STOP

Upon receiving your STOP request, we may send a confirmation message acknowledging your unsubscribe request. After that confirmation, you will no longer receive SMS messages from us unless you opt in again.

To rejoin, submit your information and opt in again through one of our approved forms or communication channels.

Carrier Liability Disclaimer

General Conditions

These Terms apply to all users of our website and services, including:

• Consultation participants
• Other users of our services

By using our website or services, you confirm that you accept these Terms and agree to comply with them.

We reserve the right to refuse service, reject an application, or discontinue access to services when permitted by law and when we reasonably determine it is appropriate to do so.

ISI Collective Application and Membership

Membership in ISI Collective is not automatic.

Application is required.

Submitting an application does not guarantee:

• Acceptance
• Enrollment
• Financing
• Project approval
• Access to every resource
• Access to every contractor or professional
• Any specific financial result

Applicants may be invited to participate in a consultation or Zoom meeting before enrollment.

ISI Collective reserves the right to determine whether an applicant is an appropriate fit for the program.

ISI Collective Program Scope

ISI Collective provides mentorship, education, guidance, community access, systems, and access to professional relationships and resources.

Depending on the member’s stage and circumstances, the program may include access to resources related to:

• Financial readiness
• Funding resources
• Business funding
• Credit-related resources
• Land and deal evaluation
• Deal underwriting
• Construction planning
• Vetted contractor relationships
• Architects
• Engineers
• Design resources
• Material sourcing
• Construction systems
• Project-management tools
• Community support
• Live mentorship

The exact resources used by a member may vary depending on the member’s project, readiness, location, timeline, and stage in the program.

Member Agreement

Enrollment in ISI Collective is governed by a written Mentorship & Consulting Services Agreement signed at enrollment. The standard form of that agreement is available at theisicollective.com/member-agreement.

For enrolled members, the signed Member Agreement controls. If these Terms and the Member Agreement conflict as to the program, the Member Agreement governs. No sales conversation, social-media post, advertisement, website statement, mentor comment, text message, or informal communication modifies it.

Program Term and Structure

The program begins on the Effective Date stated in the Member Agreement and continues until the earlier of:

• Twelve (12) months from the Effective Date; or
• The completion and sale of the member’s first qualifying ground-up real estate development project undertaken during the program.

The program does not automatically renew. Any extension must be approved by ISI Collective in writing, and unused services, access, calls, resources, or support expire at the end of the program term unless ISI Collective agrees otherwise in writing.

The mentorship is generally organized around three phases:

• Phase 1 — Financial Assessment
• Phase 2 — Find the Right Land
• Phase 3 — Fund + Build the Project

ISI Collective is an educational mentorship and consulting program. It does not take control of a member’s project and does not make legal, financial, construction, investment, or business decisions on a member’s behalf.

No Guarantee of Results

Real estate investing, construction, and development involve risk.

ISI Collective does not guarantee:

• Profit
• Income
• Return on investment
• Financing
• Credit improvement
• Loan approval
• Project approval
• Project completion
• Specific construction costs
• Specific timelines
• Specific down payments
• Specific interest rates
• Recovery of the program fee
• Locating suitable land
• Securing any particular contractor or subcontractor
• Favorable material pricing
• Completing construction within a specific budget or timeframe
• Avoiding financial loss
• Property appreciation
• Resale price
• Any specific financial outcome

Any examples of past projects, profits, returns, or results are provided for educational or illustrative purposes only.

Past performance does not guarantee future results.

Members remain responsible for their own investment, financial, legal, tax, business, and project decisions.

Financing and Third-Party Resources

ISI Collective may provide access to or introductions involving:

• Lenders
• Funding providers
• Contractors
• Architects
• Engineers
• Realtors
• Vendors
• Designers
• Other service providers

These individuals and companies may be independent third parties.

ISI Collective, Inc. does not guarantee:

• Approval by any third party
• Pricing
• Availability
• Performance
• Financing terms
• Contractor schedules
• Professional outcomes

Any introduction or recommendation is provided solely as a convenience, based on ISI Collective’s experience or prior relationship. ISI Collective does not supervise or control independent third parties, and does not guarantee their licensing status, insurance coverage, workmanship, pricing, or results. Members are solely responsible for their own due diligence and for reviewing and accepting every contract, bid, scope of work, financing document, estimate, invoice, and warranty with a third party.

Any agreement entered into with a third-party provider may be governed by that provider’s own terms and conditions.

No specific material pricing or discount is guaranteed. Terms such as “builder pricing” or “preferred pricing” do not promise any particular price or percentage savings, and pricing, availability, and supplier terms may change at any time.

Mentorship and Educational Disclaimer

ISI Collective provides education, mentorship, guidance, and access to resources.

Nothing provided through ISI Collective should be considered:

• Legal advice
• Tax advice
• Accounting advice
• Financial advice
• Investment advice
• Lending advice
• Engineering advice
• Architectural advice

Members should consult appropriately licensed professionals regarding decisions that require professional expertise, and may not rely exclusively on ISI Collective where professional licensing, professional judgment, or legal compliance calls for another qualified professional.

Unless separately retained under a distinct written agreement, ISI Collective and its owners, mentors, and representatives are not a member’s attorney, accountant, tax or investment adviser, fiduciary, real estate or mortgage broker, lender, appraiser, inspector, engineer, architect, title or escrow agent, property manager, general contractor, construction manager, or business partner. Participation does not create a partnership, joint venture, fiduciary, agency, employment, brokerage, or financing relationship.

Members are solely responsible for their own due diligence before any transaction, including title, liens, zoning, buildability, permitting, environmental and flood conditions, insurance, financing, construction costs, comparable sales, contractor licensing and insurance, and exit strategy. Any review by ISI Collective is supplemental educational guidance and does not replace it. All final decisions remain exclusively with the member.

Contractor and Professional Relationships

Access to contractors, architects, engineers, vendors, lenders, and other professionals may be provided as appropriate during the member’s progression through the program.

Enrollment does not automatically entitle a member to immediate access to every relationship within Chris Paladino’s professional network.

Introductions may depend on:

• Project readiness
• Location
• Scope
• Timing
• Availability
• Professional discretion
• Member conduct

We reserve the right to protect professional relationships and decline introductions when appropriate.

Community Conduct

Members participating in ISI Collective communities, including Slack or other communication platforms, are expected to behave professionally and respectfully.

Members may not:

• Harass other members
• Misrepresent themselves
• Engage in fraudulent activity
• Misuse confidential information
• Solicit other members inappropriately
• Disrupt the community
• Use the program to engage in unlawful activity

We reserve the right to remove members from community spaces for serious or repeated violations.

Communication, Inactivity, and Program Pause

ISI Collective may designate Slack or another platform as the official program communication channel. Members are expected to keep contact information current, monitor program communications, and ordinarily respond substantively within three (3) business days.

If a member does not communicate for fifteen (15) consecutive days without an approved pause or reasonable explanation, ISI Collective may place the member in inactive status and temporarily suspend access to certain resources. After sixty (60) consecutive inactive days without an approved pause, ISI Collective may treat the program as voluntarily abandoned and end remaining access. Abandonment does not entitle a member to a refund.

ISI Collective may approve a temporary pause in writing, generally not to exceed three (3) consecutive months. A pause does not extend the program term unless ISI Collective expressly agrees in writing.

Real estate development is sequential. A member who skips recommended steps, provides inaccurate information, or changes a project in a way that affects prior guidance may be asked to return to an earlier stage, and ISI Collective is not responsible for resulting delays, costs, or losses.

Confidentiality and Proprietary Materials

ISI Collective may provide access to proprietary:

• Systems
• Templates
• Checklists
• Deal-review processes
• Construction resources
• Training materials
• Documents
• Frameworks
• Content

These materials are provided for the member’s personal use within the program.

Unless we provide written permission, members may not:

• Sell
• Reproduce
• Distribute
• Publish
• License
• Share publicly
• Repurpose commercially
• Teach or resell ISI Collective’s curriculum
• Upload proprietary materials into a public database, AI-training system, or similar repository

any proprietary ISI Collective materials.

Members may not record, livestream, publish, distribute, or publicly share private mentorship sessions, calls, presentations, or community discussions without prior written authorization from ISI Collective and anyone else whose consent is legally required. Unauthorized recording or distribution may be a material breach.

Intellectual Property Rights

All content on https://theisicollective.com, including:

• Text
• Graphics
• Logos
• Images
• Videos
• Training materials
• Frameworks
• Documents
• Program materials

is owned by or licensed to ISI Collective, Inc. and is protected by applicable copyright, trademark, and intellectual property laws.

You may not use, reproduce, publish, distribute, modify, or commercially exploit our content without prior written permission.

Payment Terms

Members pay the program fee according to the invoice, financing arrangement, payment authorization, or written payment schedule accepted at enrollment. Where the Member Agreement applies, it controls.

If a member elects or accepts an installment plan, the member authorizes ISI Collective, Inc. and its third-party payment processor to automatically charge the authorized payment method for each scheduled installment on or about its due date, without separate authorization for each charge. Members must keep a valid payment method on file for the length of the schedule and promptly update it if it expires, is replaced, or cannot be processed. If a payment fails, ISI Collective may retry it to the extent permitted by law and payment-processor rules.

Failure to pay when due, including because of an expired, declined, or invalid payment method, may result in immediate suspension of access and, if unresolved, termination. Suspension, termination, cancellation of access, or a member’s decision to stop participating does not cancel or eliminate any payment obligation under the accepted payment schedule. A payment obligation cannot be avoided by revoking or replacing a payment method, disputing a properly authorized charge, discontinuing participation, or asking to be removed. Any change to an accepted schedule must be approved by ISI Collective in writing.

Cancellation and Refund Policy

For consultations, appointments, or scheduled calls, we ask that you provide reasonable notice if you need to cancel or reschedule.

To the extent provided in the enrollment documents or required by law, a member may have a limited cancellation right after enrollment. After any applicable cancellation period has expired and ISI Collective has begun providing services, access, onboarding, resources, or materials, all payments are final and nonrefundable, except where the law requires otherwise or ISI Collective agrees otherwise in writing.

Stopping participation, changing plans, delaying or abandoning a project, financing difficulty, failing to secure property or financing, dissatisfaction with an investment outcome, or losing access because of nonpayment does not create a refund right. Termination for cause also does not create a right to a refund.

Suspension or Termination

ISI Collective may suspend or terminate program access for nonpayment, material breach, repeated refusal to participate or communicate, unauthorized sharing of program materials or login credentials, harassment or abuse, fraud or intentional misrepresentation, unlawful activity, conduct creating a safety, legal, cybersecurity, or reputational risk, repeated disregard of program standards after reasonable notice, or misuse of ISI Collective’s name, brand, relationships, or intellectual property.

Where reasonably appropriate, a member may be given a chance to correct a curable violation first. No cure period is required for fraud, threats, violence, intentional intellectual-property misuse, unlawful conduct, theft, intentional diversion of funds, or conduct creating an immediate safety or legal risk.

Assumption of Risk, Release, and Limitation of Liability

Members knowingly and voluntarily assume the risks of real estate investing and construction, including loss of capital or deposits, cost overruns, financing and interest-rate changes, contractor defaults, material shortages, construction defects, permit and weather delays, market changes, property-value declines, litigation, tax consequences, failed transactions, and complete financial loss.

To the fullest extent permitted by law, ISI Collective is not responsible for the acts, omissions, workmanship, licensing, performance, or failures of any independent third party, and members release and hold harmless ISI Collective, Inc. and its owners, officers, employees, mentors, contractors, representatives, affiliates, and agents from claims arising from a member’s independent decision to use any third-party provider introduced, recommended, or discussed through the program.

To the fullest extent permitted by law, ISI Collective and those persons are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, lost opportunities, lost financing or deposits, diminished property value, construction or material losses, delays, or transaction losses, and ISI Collective’s aggregate liability under the Member Agreement does not exceed the program fees actually paid to and retained by it. Nothing in these Terms limits liability that applicable law does not permit to be limited or waived.

Members agree to defend, indemnify, and hold harmless ISI Collective, Inc. and those persons from third-party claims arising from the member’s real estate transactions, construction project, contracts, financing, representations, advertising, communications, hiring and purchasing decisions, legal or regulatory violations, misuse of program materials, or negligence, misconduct, or breach, except to the extent a claim is finally determined to result from ISI Collective’s fraud, intentional misconduct, or liability that cannot lawfully be waived or shifted. The full terms are in the Member Agreement.

Technology Platforms and Force Majeure

ISI Collective may use Slack, Zoom, email, CRM software, file-sharing services, payment processors, online portals, and other third-party technology. We do not control and are not responsible for their availability, performance, security, policies, or outages, and may substitute comparable technology when reasonably necessary.

ISI Collective is not liable for delays or interruptions caused by circumstances beyond its reasonable control, including severe weather, hurricanes, natural disasters, illness, government action, utility failures, internet outages, platform failures, labor disruption, civil disturbance, or war.

Governing Law and Dispute Resolution

These Terms and the Member Agreement are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before starting litigation, the parties agree to give written notice of the dispute and make a good-faith effort to resolve it through direct discussion for at least thirty (30) days. For members, venue, jury-trial waiver, and other dispute terms are set out in the Member Agreement.
